Agreement to Our Legal Terms
We are Ensembler Inc. ("Company," "we," "us," and "our"), a Delaware corporation. We operate the website https://visor.so and any related products and services that refer or link to these legal terms (collectively, the "Services").
Visor is an AI-powered podcast discovery and research product for founders and teams. It includes search, recommendations, transcripts, saved items, and related workflow features designed to help users find relevant conversations, decisions, and patterns across podcasts and other audio content.

These Legal Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Ensembler Inc. concerning your access to and use of the Services. By accessing the Services, you agree that you have read, understood, and agreed to be bound by these Legal Terms. If you do not agree with all of these Legal Terms, then you are expressly prohibited from using the Services and must discontinue use immediately.
Supplemental terms or documents that may be posted on the Services from time to time are hereby expressly incorporated by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates.
The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.
1. Our Services
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Those who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
The Services are not tailored to comply with industry-specific regulations such as HIPAA, FISMA, or GLBA. If your use case would subject the Services to those or similar laws, you may not use the Services in that manner.
2. Intellectual Property Rights
Our Service
Ensembler Inc. owns or licenses the intellectual property rights in the Services themselves, including our software, source code, databases, indexes, recommendation systems, AI workflows, product features, website and app designs, visual interfaces, documentation, trademarks, service marks, logos, and other materials that we create or provide as part of Visor (collectively, the "Visor Materials").
The Visor Materials are protected by copyright, trademark, trade secret, and other intellectual property laws. Subject to your compliance with these Legal Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal research purposes. We reserve all rights not expressly granted to you.
Podcast and Third-Party Content
Visor surfaces, indexes, links to, summarizes, transcribes, and helps you discover content that may be owned, controlled, or supplied by third parties, including podcast audio, video, episode titles, descriptions, show names, artwork, RSS feed data, clips, external web pages, and transcript text that reflects third-party audio or video (collectively, "Third-Party Content").
Third-Party Content remains the property of its respective owners or licensors. We do not claim ownership of Third-Party Content merely because it appears in, is indexed by, is linked from, is summarized by, or is otherwise made available through the Services. We may own or license the technology, formatting, metadata, annotations, rankings, summaries, embeddings, search indexes, or other product elements that we create around Third-Party Content, but not the underlying third-party works themselves.
The availability of Third-Party Content through the Services does not imply that we endorse that content or that the third-party owner endorses Visor. Your use of Third-Party Content may be subject to separate terms, licenses, rights, restrictions, or laws. You are responsible for complying with those requirements.
Your Content and Feedback
You retain ownership of notes, prompts, saved collections, comments, files, private feeds, profile information, and other materials that you create, upload, or submit to the Services, excluding any Third-Party Content included in or referenced by them ("User Content"). You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transform, display, and otherwise use your User Content as needed to operate, provide, secure, support, personalize, and improve the Services and as otherwise described in our Privacy Policy.
If you upload or import content, submit a private feed, request that we process a source, or otherwise provide materials to the Services, you represent that you have the rights, permissions, or lawful basis needed to do so. Saving, linking to, requesting, or listening to a third-party podcast or other third-party source through Visor does not mean that you own that content.
If you send us comments, suggestions, ideas, or other feedback about the Services, you agree that we may use that feedback without restriction or compensation to you.
3. AI-Generated Content
The Services use artificial intelligence, machine learning, automated retrieval, transcription, ranking, and summarization systems to generate and present information, including transcripts, transcript excerpts, summaries, labels, recommendations, search results, citations, chat responses, and other research outputs ("AI Outputs").
AI Outputs are provided for informational and research purposes only. They may contain errors, omissions, hallucinations, transcription mistakes, outdated information, missing context, inaccurate citations, or conclusions that do not reflect the underlying source material. You should verify important information against the original podcast, transcript, cited source, or other primary material before relying on it.
Visor does not provide financial, investment, legal, tax, medical, or other professional advice. AI Outputs and other information provided through the Services are not recommendations to buy, sell, hold, invest in, work for, partner with, or otherwise transact with any company, security, fund, product, strategy, or person. You are solely responsible for your decisions and for consulting qualified professionals where appropriate.
Because AI systems can produce similar or repeated outputs for different users, AI Outputs may not be unique. Our making an AI Output available to you does not grant you ownership of, or any additional rights in, underlying Third-Party Content reflected in that output. Your use of AI Outputs remains subject to these Legal Terms, applicable law, and any rights or restrictions that apply to the underlying source material.
4. User Representations
By using the Services, you represent and warrant that:
- all registration information you submit will be true, accurate, current, and complete;
- you will maintain the accuracy of such information and promptly update it as necessary;
- you have the legal capacity to agree to these Legal Terms;
- you are not a minor in the jurisdiction in which you reside;
- you will not access the Services through automated or non-human means, whether through a bot, script, scraper, or otherwise, except as expressly authorized by us;
- you will not use the Services for any illegal or unauthorized purpose; and
- your use of the Services will not violate any applicable law or regulation.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services.
5. User Registration
You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
6. Purchases and Payment
We may offer paid features, subscriptions, or other purchases through the Services. If so, you agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services.
You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Sales tax will be added to the price of purchases as deemed required by us. We may change prices at any time. All payments shall be in US dollars unless we state otherwise.
You agree to pay all charges at the prices then in effect for your purchases, and you authorize us to charge your chosen payment provider for any such amounts. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment, and to refuse any order placed through the Services.
7. Subscriptions
Billing and Renewal
If you purchase a subscription, your subscription will continue and automatically renew unless canceled. You consent to our charging your payment method on a recurring basis without requiring prior approval for each recurring charge, until you cancel the applicable subscription.
Cancellation
You can cancel your subscription at any time by contacting us using the contact information provided below or through any cancellation functionality we make available. Your cancellation will take effect at the end of the current paid term unless we state otherwise.
Fee Changes
We may, from time to time, make changes to subscription fees and will communicate any price changes to you in accordance with applicable law.
8. Prohibited Activities
You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:
- systematically retrieve data or other content from the Services to create or compile a collection, compilation, database, or directory without written permission from us;
- trick, defraud, or mislead us or other users, especially in any attempt to learn sensitive account information;
- circumvent, disable, or otherwise interfere with security-related features of the Services;
- upload or transmit viruses, malicious code, or other material that interferes with any party's uninterrupted use of the Services;
- engage in any automated use of the system, including scraping, mining, mirroring, or similar extraction activities, except as expressly authorized by us;
- impersonate another user or person, or use the username of another user;
- interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services;
- attempt to bypass any measures designed to prevent or restrict access to the Services;
- copy, adapt, reverse engineer, decipher, decompile, or disassemble any software comprising part of the Services, except as permitted by applicable law;
- make any unauthorized use of the Services, including collecting usernames or email addresses for unsolicited communications;
- use the Services to compete with us or for any revenue-generating endeavor not expressly permitted by us; or
- use the Services in a manner inconsistent with applicable laws or regulations.
9. User Generated Contributions
The Services may allow you to create, submit, store, display, transmit, or otherwise make available content and materials, including notes, prompts, comments, saved collections, profile information, uploaded files, private feeds, source requests, suggestions, or other material you provide (collectively, "Contributions"). Contributions do not include Third-Party Content that you merely access, save, request, link to, or reference through the Services.
By creating or making available any Contributions, you represent and warrant that:
- you own or control the rights in your Contributions, or otherwise have the rights, permissions, or lawful basis needed to provide them to the Services and grant the rights described in these Legal Terms;
- your Contributions do not infringe the intellectual property, privacy, publicity, or other rights of any third party;
- your Contributions are not false, inaccurate, misleading, obscene, harassing, defamatory, threatening, or otherwise objectionable;
- your Contributions do not violate any applicable law, regulation, or rule; and
- your Contributions do not include malicious code or other harmful material.
Any use of the Services in violation of the foregoing may result in termination or suspension of your rights to use the Services.
10. Contribution License
We may access, store, process, and use Contributions and related personal data in accordance with these Legal Terms, our Privacy Policy, and your choices, including available settings.
By submitting suggestions or other feedback regarding the Services, you agree that we can use and share such feedback for any purpose without compensation to you.
We do not assert ownership over your Contributions. You retain full ownership of your Contributions and any intellectual property rights associated with them, subject to any third-party rights in materials included in or referenced by those Contributions. You are solely responsible for your Contributions and for ensuring you have the rights needed to provide them to the Services.
11. Social Media
As part of the functionality of the Services, you may be able to link your account with online accounts you have with third-party service providers (each, a "Third-Party Account"). By doing so, you represent and warrant that you are entitled to disclose your Third-Party Account login information to us or grant us access to your Third-Party Account without breaching any agreement governing your use of that account.
By granting us access to a Third-Party Account, you understand that we may access, make available, and store certain content or information that you have provided to that Third-Party Account, to the extent necessary to provide the Services. Your relationship with the third-party providers associated with your Third-Party Accounts is governed solely by your agreement with those providers.
12. Third-Party Websites and Content
The Services may contain links to other websites and content belonging to or originating from third parties. Such third-party websites and content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for them.
If you decide to leave the Services and access third-party websites or use or install any third-party content, you do so at your own risk, and you should be aware that these Legal Terms no longer govern. You should review the applicable terms and policies of any website or application you access from the Services.
13. Services Management
We reserve the right, but not the obligation, to monitor the Services for violations of these Legal Terms, take appropriate legal action against anyone who violates the law or these Legal Terms, refuse or restrict access to the Services, remove excessive or burdensome files or content, and otherwise manage the Services in a manner designed to protect our rights and property and facilitate proper functioning of the Services.
14. Privacy Policy
We care about data privacy and security. Please review our Privacy Policy at /privacy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms.
The Services are hosted in the United States. If you access the Services from any other region with laws or requirements governing personal data collection, use, or disclosure that differ from applicable United States laws, then through your continued use of the Services, you are transferring your data to the United States and expressly consent to have your data transferred to and processed in the United States.
15. Term and Termination
These Legal Terms shall remain in full force and effect while you use the Services. Without limiting any other provision of these Legal Terms, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Services to any person for any reason or for no reason, including for breach of any representation, warranty, or covenant contained in these Legal Terms or of any applicable law or regulation.
We may terminate your use or participation in the Services or delete your account and any content or information that you posted at any time, without warning, in our sole discretion. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action.
16. Modifications and Interruptions
We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason in our sole discretion without notice. We have no obligation to update any information on the Services and will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.
We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors.
17. Governing Law
These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
18. Dispute Resolution
Binding Arbitration
If the parties are unable to resolve a dispute through informal negotiations, the dispute, except those expressly excluded below, will be finally and exclusively resolved by binding arbitration. You understand that without this provision, you would have the right to sue in court and have a jury trial.
The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes. The arbitration may be conducted in person, through the submission of documents, by phone, or online. Except where otherwise required by applicable AAA rules or law, the arbitration will take place in Delaware.
If for any reason a dispute proceeds in court rather than arbitration, the dispute shall be commenced or prosecuted in the state and federal courts located in Delaware, and the parties consent to venue and jurisdiction in those courts.
Restrictions
Any arbitration shall be limited to the dispute between the parties individually. To the fullest extent permitted by law, no arbitration shall be joined with any other proceeding, there is no right or authority for any dispute to be arbitrated on a class-action basis, and there is no right or authority for any dispute to be brought in a representative capacity on behalf of the general public or any other persons.
Exceptions to Arbitration
The following disputes are not subject to binding arbitration: any dispute seeking to enforce or protect intellectual property rights, any dispute related to theft, piracy, invasion of privacy, or unauthorized use, and any claim for injunctive relief.
19. Corrections
There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.
20. Disclaimer
The Services are provided on an "AS IS" and "AS AVAILABLE" basis. You agree that your use of the Services will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Services and your use thereof, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We make no warranties or representations about the accuracy or completeness of the Services' content or the content of any websites or applications linked to the Services, and we assume no liability or responsibility for any errors, mistakes, inaccuracies, personal injury, property damage, unauthorized access, interruptions, malware, or any loss or damage arising from content made available via the Services.
21. Limitations of Liability
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Services, even if we have been advised of the possibility of such damages.
22. Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your use of the Services, your breach of these Legal Terms, your violation of the rights of a third party, or your violation of applicable law.
23. User Data
We will maintain certain data that you transmit to the Services for the purpose of managing performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services.
You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.
24. Electronic Communications, Transactions, and Signatures
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing.
You hereby agree to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions initiated or completed by us or via the Services.

26. Miscellaneous
These Legal Terms and any policies or operating rules posted by us on the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision.
These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable and does not affect the validity and enforceability of any remaining provisions.
